Terms and Conditions for Instalment Plans

These Terms and Conditions apply to the Instalment Plan option offered by Excelin Web Limited for website design and development services. By choosing the instalment plan, the Client agrees to the following terms:

1. Overview of Instalment Plan

  • The Client has the option to pay for website design and development services via an Instalment Plan. This plan divides the total project cost into equal payments over a specified period, as agreed between the Client and Excelin Web Limited.
  • The instalment options available are:
    • 1-Year Instalment Plan
    • 2-Year Instalment Plan

The Client agrees to pay the total project cost as outlined in the proposal or contract, divided into monthly payments for the chosen plan.

2. Total Project Cost and Payment Schedule

  • The total project cost for website design and development is [please refer to plans] NZD.
  • The instalment payment amounts are as follows:
    • 1-Year Instalment Plan: [monthly amount] NZD/month for 12 months.
    • 2-Year Instalment Plan: [monthly amount] NZD/month for 24 months.
  • Payments are due on the [plan start date] of each month. Invoices will be sent to the Client at least 5 days before the due date.
  • The Client agrees to make the required payments via the agreed payment method (e.g., bank transfer, credit card, etc.).

3. Late Payment Policy

  • Payments must be made on or before the due date. If payment is not received within 5 days of the due date, the account in Excelin Web Website will be suspended restricting access.
  • If the Client fails to pay for 10 days or more, Excelin Web Limited reserves the right to suspend or halt ongoing work until the overdue balance is settled.
  • If payments are not received within 30 days, Excelin Web Limited reserves the right to terminate the contract, and the Client will be responsible for the full remaining balance of the project.

4. Client Responsibilities

  • The Client agrees to provide all necessary information and access (e.g., content, branding assets, hosting details) in a timely manner to ensure the project can proceed as planned.
  • The Client must notify Excelin Web Limited of any changes to billing or payment information that may affect the instalment plan.

5. Work Deliverables and Milestones

  • Website development will begin after the first payment. No deposit fee is needed, but if client prefers deposit, it will be deducted on the next months.
  • The Client will receive deliverables in accordance with the project milestones defined in the project agreement. However, delays in payment may result in delays in the project timeline.

6. Project Completion and Final Payment

  • Once the instalment term is complete and all services have been delivered to the Client’s satisfaction, the Client may take all the website resources, request a full transfer of ownership, or may continue with maintenance plans.
  • Excelin Web Limited will not release the website or provide full ownership rights until the Client has completed the final payment of the total project cost.

7. Termination of Agreement

  • The Client may terminate the instalment plan at any time by providing 30 days’ written notice.
  • If the Client terminates the agreement before the full payment is made, they will be responsible for paying any outstanding balance owed for the completed portion of the project.
  • Excelin Web Limited reserves the right to terminate the agreement if the Client fails to make payments according to the agreed schedule. In such cases, the full outstanding balance of the project will become due immediately.
  • Once terminated, Excelin Web Limited reserves the full right to sell the website design, templates, and resources that we have provided (excluding any client-submitted data) to another client. This ensures fair compensation for the time, effort, and resources invested in building the project. Any proprietary content, branding, or personal information submitted by the client remains their ownership and will not be repurposed or resold. However, the structural framework, design elements, and any proprietary assets created by Excelin Web Limited may be reassigned or repurposed at our discretion.

8. Refunds and Cancellations

  • Due to the customized nature of the website design and development services, refunds are not provided after work has commenced.
  • If the Client cancels the project after making an initial payment or during the instalment period, they will be charged for work completed up to the point of cancellation. This amount is based on the pro-rata value of the services rendered.

9. Ownership and Intellectual Property

  • The Client retains ownership of all content provided for the project, including logos, images, and text.
  • Upon full payment, the Client will have ownership of the completed website design. If the Client fails to complete the instalment plan, Excelin Web Limited retains ownership of the design and associated intellectual property until full payment is received.

10. Amendments to Terms

  • Excelin Web Limited reserves the right to modify or update these terms and conditions at any time. The Client will be notified of any changes, and continued use of the instalment plan will constitute acceptance of the revised terms.

11. Acceptance

By agreeing to the Instalment Plan, the Client acknowledges that they have read, understood, and agree to the terms set forth in this document.

Webmasters on Wheels

Terms and Conditions for “Webmasters on Wheels” Service

1. Service Scope

  • The “Webmasters on Wheels” service provides on-site website development and deployment for businesses, offering the convenience of having a dedicated webmaster work at the client’s location. This service is designed for clients seeking same-day website creation and launch.

2. Geographic Limitations

  • This service is primarily available within Wellington, New Zealand, and nearby suburbs.
  • For clients located outside this area, additional travel fees may apply. The fees will depend on the distance and accessibility of the client’s location, which will be discussed and agreed upon before scheduling.

3. On-Site Development

  • A dedicated webmaster will arrive at the client’s specified location and will work on-site to develop and launch the website within the agreed-upon timeframe.
  • Clients must provide a suitable workspace, stable internet access, and any required content or materials in advance to facilitate the process.

4. Content and Pre-Preparation Requirements

  • Clients are required to supply all necessary content (e.g., text, logos, images) prior to the scheduled service date. Delays in providing content may affect the project timeline and, in some cases, prevent same-day completion.
  • The “Webmasters on Wheels” service allows for basic design customization only, including text and image placement within prebuilt templates. Additional customization may require separate services.

5. Project Timeline and Completion

  • The goal of the “Webmasters on Wheels” service is to design, develop, and launch the website within a single business day.
  • In the event of unforeseen circumstances, such as technical issues or client-related delays, Excelin Web reserves the right to extend the timeframe or schedule an additional visit if required.

6. Additional Revisions

  • The service includes up to two minor rounds of revisions on the day of development to address basic changes such as text edits and minor visual adjustments.
  • Any further revisions or substantial modifications requested after the site is launched will be billed separately.

7. Maintenance and Post-Launch Support

  • This service does not include long-term maintenance, security, or regular updates post-launch. Clients are encouraged to explore our website maintenance packages for ongoing support to keep their site updated and secure.

8. Payment Terms

  • A non-refundable deposit is required to book the “Webmasters on Wheels” service. The remaining balance must be paid by the end of the service day.
  • For projects requiring additional travel expenses, the total cost, including any travel fees, will be agreed upon and included in the final invoice.

9. Travel Expenses for Locations Outside Wellington

  • For clients located beyond Wellington and its suburbs, additional travel charges may apply. These costs will cover transportation, potential accommodation, and other related expenses.
  • Travel fees will be estimated and disclosed to the client prior to booking, ensuring clear agreement on total service costs.

10. Limitation of Liability

  • Excelin Web is not responsible for any loss of business, downtime, or damages arising from the use or performance of the website after launch.
  • Clients assume all responsibility for the website upon completion and launch, including any further changes or updates required.

11. Acceptance of Terms

By engaging in the “Webmasters on Wheels” service, the client agrees to these Terms and Conditions. Excelin Web reserves the right to modify these terms at any time without prior notice.

Add-on Services

Terms and Conditions for Add-on Services

1. Scope of Services

  • Add-on services are supplementary services designed to enhance or complement the Client’s primary product or service. The exact specifications, deliverables, and scope of each add-on service will be outlined in a separate agreement or proposal.
  • Any modification to the scope of the service after the agreement will be treated as a new request and may incur additional charges.
  • The Company reserves the right to determine the tools, methodologies, and resources required to complete the service.

2. Fees and Payment Terms

  • The cost of add-on services is determined based on the complexity and scope of work. All fees will be detailed in the agreement or invoice provided to the Client.
  • Payment is required as follows:
    • A deposit or full payment may be required before work begins.
    • Outstanding balances must be settled as per the agreed payment schedule.
  • Late payments will incur a penalty of [specific percentage or amount] per day beyond the due date.
  • The Company reserves the right to withhold deliverables or suspend ongoing work in the event of non-payment.
  • All payments are non-refundable unless otherwise agreed in writing.

3. Delivery and Timelines

  • Delivery timelines will be specified in the agreement or proposal. The Company will make reasonable efforts to meet agreed deadlines.
  • The Client acknowledges that timelines may be adjusted due to:
    • Delays in receiving necessary input or approvals from the Client.
    • Unforeseen technical or operational challenges.
  • Timely completion of services requires full cooperation from the Client, including the prompt provision of required information and resources.

4. Revisions and Additional Work

  • Minor revisions are included within the agreed scope of work, provided they are requested within 7 days of delivery.
  • Significant changes, additional requests, or work outside the agreed scope will be treated as additional services and will be billed accordingly.
  • Any revisions impacting the timeline or cost will require a written amendment to the original agreement.

5. Liability and Disclaimers

  • The Company is not liable for:
    • Failures or interruptions caused by third-party tools, platforms, or services integrated as part of the add-on.
    • Losses arising from the Client’s use or misuse of the deliverables.
  • The Company’s total liability is limited to the fees paid by the Client for the specific add-on service.
  • The Company provides no guarantees regarding the performance or results of third-party tools or platforms used in delivering the service.

6. Confidentiality and Data Security

  • The Company will treat all Client-provided data, information, and materials as confidential and will use them solely for the purpose of delivering the agreed services.
  • The Client acknowledges their responsibility to provide accurate and lawful information and ensure that all shared data complies with applicable privacy and data protection laws.

7. Intellectual Property

  • Ownership of any deliverables created as part of the add-on service will transfer to the Client upon full payment.
  • The Company retains ownership of any proprietary tools, code, or methods used in delivering the service.
  • The Client may not reproduce, distribute, or modify the deliverables without prior written consent from the Company, except as permitted by the agreement.

8. Termination and Refunds

  • Either party may terminate the agreement by providing 14 days’ written notice, subject to the following conditions:
    • The Client must pay for any work completed up to the date of termination.
    • Termination does not entitle the Client to a refund of any payments already made.
  • The Company reserves the right to terminate the agreement immediately in cases of:
    • Breach of these Terms and Conditions by the Client.
    • Non-payment of fees.
  • Upon termination, the Client’s access to any ongoing work or deliverables may be revoked until outstanding fees are paid.

9. Limitation of Liability

  • The Company’s services are provided “as is,” without warranties of any kind, express or implied.
  • The Company will not be liable for indirect, incidental, or consequential damages, including loss of revenue or data, arising from the use of add-on services.
  • The Client agrees to indemnify and hold harmless the Company against claims, damages, or losses resulting from the Client’s use of the service or deliverables.

10. Amendments

  • The Company reserves the right to modify these Terms and Conditions at any time. Updated terms will be communicated to the Client, and continued use of services will constitute acceptance of the revised terms.

11. Governing Law

  • These Terms and Conditions are governed by the laws of New Zealand, and any disputes arising shall be subject to the exclusive jurisdiction of the courts in New Zealand.

12. Acceptance

By purchasing an add-on service, the Client confirms that they have read, understood, and agreed to these Terms and Conditions in full.

Website Monthly Maintenance

Monthly Website Maintenance Terms and Conditions

These Terms and Conditions govern the monthly website maintenance services provided by Excelin Web Limited to the Client. By subscribing to our Monthly Website Maintenance, the Client agrees to the following terms:

1. Scope of Services

  • Monthly website maintenance includes:
    • Content Updates: Updates to existing text, images, or minor page layout adjustments as requested by the Client.
    • Plugin and Theme Updates: Routine updates of plugins, themes, and WordPress core software (if applicable) to maintain website functionality and security.
    • Security Monitoring: Regular checks to detect and address potential vulnerabilities, malware, or hacking attempts.
    • Backups: Regularly scheduled backups of the website and database.
    • Performance Optimization: Basic optimization measures to maintain speed and performance, such as caching adjustments and image optimization.
  • Services do not include:
    • Major design changes, feature additions, or new page layouts.
    • Development of new functionalities or complex troubleshooting requiring extensive code rewriting.
    • SEO, marketing, or analytics beyond basic monitoring.

2. Service Fees

  • The Client agrees to pay a monthly fee of $20/month NZD for the maintenance package.
  • Payments are due on the [specify billing cycle day], and services may be suspended if payment is not received within 7 days of the due date.

3. Client Responsibilities

  • The Client must provide accurate and up-to-date information for content updates and any necessary login credentials.
  • The Client is responsible for informing Excelin Web Limited promptly of any issues encountered with the website.

4. Website Access and Authorization

  • The Client authorizes Excelin Web Limited to access the website’s administrative panel, hosting, and relevant accounts as necessary for maintenance.
  • Access details provided will be used solely for the purposes of performing the maintenance services.

5. Data Backup and Security

  • Excelin Web Limited will maintain regular backups as part of the maintenance service. However, the Client is advised to keep an additional backup of important data as a precaution.
  • Excelin Web Limited will make reasonable efforts to protect the website from security threats but is not liable for unauthorized access due to third-party vulnerabilities.

6. Limitations of Liability

  • Excelin Web Limited shall not be liable for issues arising from third-party software (themes, plugins, hosting) or for downtime caused by external providers.
  • In the event of site loss, data corruption, or hacking, Excelin Web Limited will work to restore the site using the most recent available backup, but no guarantees are made for complete recovery.

7. Warranty and Support

  • Maintenance is performed to the best of Excelin Web Limited’s abilities, but no guarantees are made regarding website performance or uptime.
  • The Client agrees that updates and plugin installations may occasionally cause incompatibility issues. Excelin Web Limited will make reasonable efforts to resolve these issues as part of the maintenance agreement.

8. Cancellation and Termination

  • The Client may cancel the maintenance service at any time with a 30-day written notice.
  • Excelin Web Limited reserves the right to terminate the maintenance service if payments are not received or if the Client fails to comply with these terms.
  • No refunds will be provided for partial months upon cancellation.

9. Modification of Terms

  • Excelin Web Limited reserves the right to modify these terms at any time. Any changes will be communicated to the Client, and continued use of the maintenance service will constitute acceptance of the revised terms.

10. Acceptance

By signing up for Monthly Website Maintenance, the Client acknowledges that they have read, understood, and agree to the terms set forth in this document.
